Terms & Conditions of Business

For a greener future

1. Definitions

• “Company” refers to Riverside Garden Rooms, a trading entity of Riverside Shutters Limited.

• “Client” refers to the person or persons placing an order with the Company.

• “Works” means the supply and installation of the garden room, including any associated services agreed in writing.



2. Agreement to Terms


By placing an order with Riverside Garden Rooms, the Client agrees to be bound by these Terms and Conditions. These terms apply in full unless otherwise agreed in writing by the Company.



3. Quotation & Acceptance

• All quotations are valid for 30 days from the date of issue.

• A contract is deemed formed upon receipt of the 50% deposit and written confirmation (email or signed acceptance).

• The Company reserves the right to revise or withdraw a quotation prior to acceptance.



4. Payment Terms

• 50% Deposit: Payable on order confirmation. This secures your build slot and materials.

• 25% Interim Payment: Due upon installation of ground screw foundations and steel structural frame.

• 25% Final Payment: Payable on the day of practical completion.

• All payments must be made by bank transfer to the Company account as detailed on your invoice.

• Late Payments: Interest may be charged on overdue invoices at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.



5. Cancellations & Amendments

• Cancellations made within 7 days of order confirmation are eligible for a full refund, provided that bespoke items such as doors, windows, or the steel frame have not yet entered production.

• If any made-to-order components have already gone into production during that 7-day period, the cost of those items will be deducted from any refundable amount.

• After 7 days from order confirmation, no refunds will be offered under any circumstances.

• All cancellations must be made in writing (email accepted).

• Amendments to the agreed design or specification must also be requested in writing. These may be subject to additional costs and could affect the estimated timeline for delivery.



6. Delivery & Installation

• Estimated build time is 10–12 working days, but may be extended due to adverse weather or unforeseen ground/site conditions.

• The Client must provide clear and safe access to the build site for all equipment, materials, and personnel.

• Undisclosed site conditions (e.g. buried utilities, poor ground stability, large obstructions) may result in delays or additional costs.



7. Planning Permission & Building Regulations

• In most cases, our garden rooms fall within permitted development rights.

• However, it is the Client’s responsibility to ensure all necessary permissions, approvals, and certificates are obtained prior to commencement of works.

• The Company will not be held liable for any enforcement action due to the Client’s failure to obtain required permissions.



8. Warranty & Guarantees

• 3-Year Structural Warranty: Covers defects in workmanship and the structural elements of the garden room.

• 10-Year Product Guarantees: Apply to items such as bi-fold doors, glazing, and air-conditioning units, subject to the original manufacturer’s warranty terms.

• Warranty claims must be made in writing with evidence of the issue.

• Warranty is void if issues arise due to client misuse, unauthorised modifications, or external impact (e.g. storm, fire, subsidence).



9. Limitation of Liability

• The Company’s liability is limited to the value of the contract.

• We shall not be liable for any indirect, special, or consequential loss (including loss of profit or use).

• Nothing in these terms limits liability for death or personal injury resulting from our negligence or fraud.



10. Force Majeure


The Company shall not be liable for delays or failure in performance due to causes beyond its reasonable control, including (but not limited to) extreme weather, strikes, transport delays, material shortages, or government actions.



11. Title of Goods


All materials supplied remain the property of the Company until full and final payment has been received. The Company reserves the right to reclaim goods or cease work in the event of non-payment.



12. Dispute Resolution

• In the event of a dispute, both parties agree to attempt resolution through informal negotiation in the first instance.

• If unresolved, the matter shall be referred to mediation, and only thereafter (if necessary) to the courts of England and Wales, which shall have exclusive jurisdiction.



13. Governing Law


These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
